Terms of Service
01. Acceptance of Terms
By accessing, registering for, or using the Claustar platform ("Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" refers to that entity.
We reserve the right to update these Terms at any time. Material changes will be communicated via email or an in-platform notification at least 14 days before taking effect. Continued use after that date constitutes acceptance.
1.4 Geographic Restrictions - United States Only
The Service is available only to users located within the United States of America. Claustar does not currently operate in, market to, or knowingly serve users located outside the United States, including but not limited to Canada, the European Union, the United Kingdom, Australia, or any other foreign jurisdiction. By accepting these Terms, you represent and warrant that you are located within the United States at the time of access and that you are not accessing the Service on behalf of any person or entity located outside the United States.
All data collected through the Service is stored and processed within the United States. No international data transfers occur. If you access or attempt to access the Service from outside the United States, you are not authorized to use the Service and Claustar reserves the right to restrict or terminate your access.
1.5 Geographic Restrictions - North Carolina
The Service is not available to residents of North Carolina or to any person accessing the Service from within the State of North Carolina.
North Carolina General Statute 84-2.2 imposes specific pre-operational requirements on interactive legal document platforms - including mandatory registration with the North Carolina State Bar and written certification by a licensed North Carolina attorney of all document templates - before any such platform may serve North Carolina residents. Claustar has not yet completed that registration process.
By accepting these Terms, you represent and warrant that you are not a resident of North Carolina and are not accessing the Service from within North Carolina. If you are a North Carolina resident or are located in North Carolina at the time of access, you are not authorized to use the Service and must exit immediately. Claustar reserves the right to terminate or suspend any account we determine to be associated with a North Carolina resident or North Carolina-based access, without notice and without refund.
We intend to expand Service availability to North Carolina residents once the required State Bar registration and attorney template review process is complete. If you are a North Carolina resident, you may join our waitlist at claustar.com to be notified when the Service becomes available in your state.
02. Nature of the Service - Not Legal Advice
2.1 What Claustar Is
Claustar is an AI-powered document preparation platform. The Service guides users through a structured, situation-based question-and-answer process and generates structured contract drafts based on the information provided. All documents produced by the Service are AI-generated, and in select subscription tiers, reviewed by licensed attorneys for structural accuracy.
2.2 What Claustar Is Not
Claustar is NOT any of the following, and nothing on this platform should be interpreted as:
- Legal advice or legal counsel of any kind
- The formation of an attorney-client relationship
- Legal representation in any proceeding
- A substitute for consultation with a licensed attorney
- A guarantee that any document is enforceable, complete, or appropriate for your specific legal situation
Claustar's AI presents structured contract clauses for you to select, configure, and review. The user makes all selections. Claustar does not advise you on which choices to make. This design is intentional and is part of Claustar's compliance framework.
2.3 Unauthorized Practice of Law (UPL) Compliance
Claustar is designed and operated to avoid the unauthorized practice of law in all jurisdictions where Users access the Service. The architecture is intentional: the User, not the platform, is the decision-maker. Specifically:
- The platform presents clause options and relevant context for User selection - it does not instruct Users on what legal choices to make
- Claustar does not hold itself out as a law firm, attorney, or provider of legal services under any circumstances
- The AI pipeline does not analyze your specific legal rights, obligations, or the merits of any legal dispute
- All generated documents are structured drafts - the user actively selects, configures, and approves each clause
- All generated documents are labeled as drafts requiring independent legal review before execution
Users in Texas, Utah, Alaska, and other jurisdictions with favorable technology exemptions should note that Claustar operates as document preparation and assembly software as defined under applicable statutes. Users in all jurisdictions are advised to consult licensed counsel before executing any document generated through the Service. NOTE: The Service is currently unavailable to North Carolina residents. See Section 1.5.
2.4 Attorney-Reviewed Documents
Claustar's Verified tier includes documents that have been reviewed by licensed attorneys for structural and legal accuracy. This review is performed by independent attorney advisors who are not employees of Claustar. Attorney review does not constitute legal representation of you or your counterparty. Documents reviewed under this tier carry the "Claustar Verified" designation.
2.5 No Attorney-Client Privilege
03. User Accounts
3.1 Registration
To access core features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
3.2 Account Security
You agree to:
- Maintain the confidentiality of your password and access credentials
- Immediately notify Claustar of any unauthorized access or security breach at support@claustar.com
- Not share your account with any other person or entity
- Not create more than one individual account without express written permission from Claustar
Claustar is not liable for any loss resulting from unauthorized use of your account.
3.3 Account Eligibility
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into binding agreements.
04. License Grant and Restrictions
4.1 License to Use
Subject to your compliance with these Terms, Claustar grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or personal document preparation purposes.
4.2 Restrictions
You may not:
- Sublicense, sell, resell, transfer, assign, or commercially exploit the Service or any generated output for unauthorized purposes
- Use the Service to provide legal services to third parties for compensation without Claustar's express written consent
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Service
- Use automated bots, scrapers, or data mining tools on the Service without prior written approval
- Use the Service to harass, threaten, defame, or harm any individual or entity
- Introduce viruses, malware, or other harmful code into the Service or its infrastructure
- Circumvent any security feature, access control, or usage limitation of the Service
- Use the Service in any manner that violates applicable federal, state, or local law
05. Subscription, Fees, and Payments
5.1 Subscription Plans
Claustar offers the following subscription plans:
- Free - available at no charge, limited to 3 documents per month and 1 active project. No payment method required.
- Pro - $29.00 per month, billed monthly. Includes 100 documents per month, 10 active projects, export to DOCX and PDF, and AI clause editing.
- Enterprise - custom pricing for teams and organizations requiring volume contracts, API access, and dedicated support. Enterprise terms are governed by a separate Enterprise Agreement negotiated between Claustar and the customer.
Current plan features, document limits, and pricing are published at claustar.com/pricing. Claustar reserves the right to modify plan offerings, features, and pricing at any time with reasonable prior notice.
5.2 Billing
Pro subscriptions are billed monthly in advance. By providing a payment method, you authorize Claustar (or its designated payment processor) to charge your payment method for all applicable subscription fees at the start of each billing period. All fees are in U.S. dollars. The Free plan does not require a payment method. Enterprise billing terms are set forth in the applicable Enterprise Agreement.
5.3 Renewals and Cancellation
Pro subscriptions automatically renew on a monthly basis at the end of each billing period unless cancelled by you before the renewal date. You may cancel your subscription at any time from your account settings page. Cancellation takes effect at the end of the then-current billing period - your Pro access continues until that date and your account reverts to the Free plan at renewal. If Pro pricing increases, Claustar will provide at least 30 days advance written notice before the change takes effect. Continued use of the Pro plan after the notice period constitutes acceptance of the new pricing.
5.4 Refunds
Free Plan: The Free plan is provided at no charge. No refunds are applicable.
Pro Plan: First-time Pro subscribers are entitled to a full refund of their first monthly payment if they cancel within 7 days of the initial charge (the "Satisfaction Window"). To request a refund, contact support@claustar.com within 7 days of your first charge with the subject line "Refund Request." Refunds under the Satisfaction Window are limited to one per customer account and apply only to the first billing period. After the 7-day Satisfaction Window, Claustar does not offer refunds for the current or any past billing periods, including partial-period refunds for mid-cycle cancellations.
Enterprise Plan: Refund and cancellation terms for Enterprise customers are governed exclusively by the applicable Enterprise Agreement.
Billing Disputes: If you believe you have been charged in error, you must contact support@claustar.com within 30 days of the charge. Claustar will investigate and respond within 10 business days. Initiating a chargeback without first contacting Claustar and allowing 10 business days for resolution may result in immediate account suspension pending investigation.
5.5 Taxes
Prices do not include applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities on your subscription. Claustar may collect and remit applicable sales taxes where required by law.
06. User Content and Data
6.1 Your Content
When you submit information to the Service to generate documents (including party names, deal terms, business details, and situational context), you retain ownership of that information ("User Content"). You grant Claustar a limited, royalty-free license to process, store, and use your User Content solely for the purpose of providing and improving the Service.
6.2 No Model Training on User Data
Claustar does not use your User Content to train, fine-tune, or improve any third-party AI models without your explicit opt-in consent. This is a standing commitment. Claustar's AI pipeline passes your information through third-party large language model APIs (including those operated by OpenAI and Anthropic) under API usage terms that prohibit those providers from using API inputs for model training.
6.3 Behavioral Intelligence Data
Claustar collects behavioral metadata about how users interact with the platform. This is distinct from your document content. What Claustar collects for intelligence purposes:
- Which clause categories you select or skip, tagged to agreement type and user segment
- Time spent reviewing a clause explanation before making a decision
- Whether you accepted default clause language or modified it (we log that a modification occurred, not what the modification said)
- In the Negotiate feature, which clause types are proposed, countered, accepted, or rejected - collected only with explicit opt-in consent from all parties
- Workflow completion patterns - where users exit the document creation flow
What Claustar does NOT collect for intelligence purposes:
- The actual text content of your contract drafts or modifications
- Your counterparty's name, company, or contact information
- Deal terms, dollar amounts, or substantive provisions of your agreements
- Any information that constitutes your intellectual property or your counterparty's intellectual property
Your contracts are yours. Claustar does not read, train on, or use the content of what your contracts say. All behavioral intelligence data is aggregated and fully de-identified before use. You may opt out of behavioral data collection at any time through your account settings without affecting your ability to use the Service.
6.4 Generated Documents
Documents generated through the Service are structured output based on your inputs and Claustar's proprietary clause library and AI pipeline. You own the final document you export. Claustar retains no ownership interest in your exported documents.
6.5 User Representations
By submitting User Content, you represent and warrant that:
- You have the right to provide the information you submit
- The information you submit is accurate to the best of your knowledge
- Your submission does not violate the intellectual property rights, privacy rights, or any other rights of any third party
- Your content does not contain materially false or misleading information
07. Intellectual Property
7.1 Claustar IP
The Service and all of its underlying technology - including AI models, intake flow design, clause library, proprietary algorithms, interaction data structures, software, visual interfaces, trademarks, and brand elements - are owned by or licensed to Claustar Inc. and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Claustar IP to you.
7.2 Feedback
If you provide Claustar with suggestions, ideas, or feedback about the Service, you grant Claustar a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, including product development, without any obligation or compensation to you.
7.3 Copyright Policy - DMCA
Claustar respects intellectual property rights. If you believe that any content accessible through the Service infringes your copyright, please submit a DMCA-compliant notice to:
Claustar will respond to valid DMCA notices, disable access to infringing content, terminate repeat infringers' accounts, and take other appropriate action as required by applicable law.
08. Data Privacy and Security
8.1 Privacy Policy
Your use of the Service is subject to Claustar's Privacy Policy, available at claustar.com/privacy, which is incorporated into these Terms by reference. The Privacy Policy explains how Claustar collects, uses, and protects your personal information.
8.2 Data Security Measures
Claustar implements commercially reasonable security measures including:
- End-to-end encryption for data in transit and at rest
- Infrastructure hosted on enterprise-grade cloud services (AWS and Microsoft Azure)
- Access controls limiting internal access to user data on a need-to-know basis
- Third-party AI API calls made under data processing agreements that prohibit training on user inputs
No security system is impenetrable. Claustar cannot guarantee absolute security of your data. In the event of a data breach affecting your information, Claustar will notify you in accordance with applicable law.
8.3 Third-Party AI Providers
The Service uses multiple third-party large language model APIs at different stages of document generation. These providers operate under their own terms of service and data processing agreements. Claustar is not responsible for the data practices of third-party AI providers beyond what is required under applicable data processing agreements.
09. Prohibited Uses
You agree not to use the Service to:
- Generate documents intended to defraud, deceive, or harm any individual or entity
- Produce documents in violation of applicable law, including laws governing securities, real estate, immigration, or tax
- Impersonate any person, entity, or professional credential
- Facilitate the commission of any crime or civil wrong
- Circumvent any legal requirement or court order
- Create documents that discriminate based on protected characteristics in violation of applicable law
- Spam, solicit, or engage in mass unsolicited outreach using documents generated on the platform
- Attempt to jailbreak, manipulate, or adversarially probe the AI system
Violations of this section may result in immediate account suspension or termination, and may be reported to appropriate legal authorities.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. Claustar makes no warranty that the Service will meet your requirements, be error-free, secure, or uninterrupted. Claustar expressly disclaims any warranty of fitness for a particular purpose, merchantability, or non-infringement.
Claustar does not warrant that any document generated through the Service is legally sufficient, enforceable, or appropriate for your specific situation. Documents are structured drafts and should be reviewed by a licensed attorney before execution.
Claustar does not represent that the platform is compliant with the laws of every jurisdiction. Users are responsible for verifying compliance with the laws applicable in their location and to their transaction.
The disclaimers in this Section 10 apply to all users of the Service throughout the United States to the fullest extent permitted by the laws of each applicable state. The Service is not available to North Carolina residents (see Section 1.5). Some states do not allow the exclusion of implied warranties in certain circumstances; in those states, the above disclaimers apply to the maximum extent permitted by applicable law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Claustar Inc., its officers, directors, employees, advisors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if Claustar has been advised of the possibility of such damages.
In no event shall Claustar's total cumulative liability to you for any and all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total amount you paid to Claustar in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100.00). This cap applies to all claims in aggregate, not per claim.
The limitations in this section shall apply whether the claim is based in contract, tort (including negligence), strict liability, or any other legal or equitable theory. This limitation does not apply to damages arising from Claustar's gross negligence or willful misconduct.
The liability cap set forth in this Section 11 applies to all users of the Service throughout the United States, except where expressly prohibited by the non-waivable consumer protection statutes of a specific state. North Carolina residents are not authorized to use the Service (see Section 1.5). Some states do not allow limitation of liability for certain types of damages; in those states, Claustar's liability is limited to the maximum extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Claustar Inc., its affiliates, officers, directors, employees, attorney advisors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable law or the rights of any third party
- Any document you execute or rely upon that was generated through the Service
- Any claim by a counterparty to a document generated through the Service
This indemnification obligation survives termination or expiration of these Terms.
13. Termination
13.1 Termination by You
You may cancel your subscription and delete your account at any time by accessing your account settings or by contacting support@claustar.com. Upon cancellation, your account remains active until the end of the current billing period.
13.2 Termination by Claustar
Claustar may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, for conduct that Claustar determines, in its sole discretion, violates these Terms or is harmful to other users, Claustar, or third parties. Claustar will make reasonable efforts to provide advance notice except where immediate action is necessary to protect the integrity of the Service.
13.3 Effect of Termination
- Your license to access the Service immediately terminates
- Claustar may delete your account data in accordance with the Privacy Policy
- You remain responsible for all outstanding payment obligations
- Sections 2, 7, 10, 11, 12, 14, 15, and 16 of these Terms survive termination
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For matters involving corporate structure and formation, the laws of Delaware shall govern. For matters arising from use of the Service by residents of other jurisdictions, applicable consumer protection laws of the user's jurisdiction may also apply.
14.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact Claustar at legal@claustar.com and provide a detailed written description of the dispute. Claustar will attempt to resolve the dispute informally within 30 days. This informal resolution process is a prerequisite to any formal dispute proceeding.
14.3 Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English in the State of Delaware or, at your election, via video conference.
14.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized disclosure of confidential information.
15. Third-Party Services and Links
The Service may contain links to or integrations with third-party websites, services, or platforms. Claustar does not control and is not responsible for the content, privacy practices, or availability of third-party services. The inclusion of any link does not constitute endorsement by Claustar. Your interactions with third-party services are governed by their own terms and policies.
16. Changes to These Terms
Claustar reserves the right to modify these Terms at any time. We will notify you of material changes at least 14 days before they take effect via email to your registered address or through a prominent in-platform notice. Non-material changes (such as typographic corrections or reorganization) may be made without notice. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and may cancel your account.
17. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. Claustar's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Claustar.
18. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements you enter into with Claustar, constitute the entire agreement between you and Claustar with respect to the Service and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
